Definitions

"Business User" means any natural person acting within the scope of their business activity, as well as any legal person, partnership, association, foundation, organization, or other entity using the Service for purposes related directly or indirectly to commercial, professional, or business activities.

"Consumer" means any natural person who uses the Service for purposes outside their trade, business, craft, or profession.

"Service" means the TFXSignals website, user dashboard, Telegram notifications, and related software, collectively.

"Signal" means an algorithmically generated analytical output that may include a suggested entry point, stop-loss level, take-profit level, and risk-to-reward ratio for a given financial instrument.

I. Who We Are & What This Covers

These Terms of Service ("Terms") govern your access to and use of the TFXSignals website, user dashboard, Telegram notifications, and related software (collectively, the "Service"). TFXSignals is operated by Kamil Uchwat, in Poland ("TFXSignals"). Contact: support@tfx-signals.com. TFXSignals services/information are derived from selected public sources and their algorithmic analyses developed by software to which TFXSignals holds full and exclusive rights. TFXSignals and its affiliates, in providing the Services/making information available, believe that the information they use comes from reliable sources, but do not guarantee the accuracy or completeness of such information, which may be subject to change without notice. No part of the Services may constitute or be construed as an offer of financial instruments by TFXSignals, nor as investment advice or a recommendation by TFXSignals regarding an investment strategy or a decision to "buy," "sell," or "hold" an investment. The information available through the Services should not be treated as research analysis, a research recommendation, or an opinion regarding any financial products, securities, or entities, nor as sufficient information to make an investment decision. By creating an account, checking the consent box, or otherwise using the Service, you confirm that you have read, understood, and accepted these Terms and Conditions, as well as our Risk Disclosure and Privacy Policy.

II. Terms of Participation

Private users ("Consumers") must be at least 18 years of age and have full legal capacity to enter into binding contracts. You are responsible for ensuring that your use of the Service and any transactions you choose to execute comply with the laws of your jurisdiction. The Service is not available in jurisdictions where it is prohibited or where obtaining the appropriate authorisation is required.

A Business User represents and warrants that it is a duly organised, validly existing business entity operating in compliance with all applicable laws and regulations and possessing all permits, licences, certifications, approvals, registrations, and authorisations required for the conduct of its business activities. By accepting these Terms, the Business User expressly confirms the accuracy of the foregoing representations and warrants that it does not use the Service to provide regulated financial services to third parties without holding any required licence.

III. What the Service Is and Is Not

TFXSignals analyses market data and provides algorithmically generated signals, statistics, and educational materials. It is strictly an informational tool. TFXSignals strives to provide high-quality, transparent, and consistent analytical outputs generated through proprietary algorithms and publicly available market data. However, TFXSignals does not guarantee the accuracy, completeness, reliability, timeliness, or future performance of any information, signal, or analytical output made available through the Service. Each signal includes sample data regarding the entry point, stop-loss, take-profit, and risk-to-reward ratio.

TFXSignals does NOT:

• execute, place, or manage any transactions or orders on behalf of the user;
• act as a custodian, hold funds in trust, or have access to the funds or brokerage accounts of users;
• provide personalised investment advice, legal advice, tax advice, or accounting advice;
• guarantee any profits, results, win rates, or future outcomes.

Every trading decision regarding whether and when to act on a signal, position size, leverage, and risk management is entirely up to the user or trader and is made at the user's or trader's sole discretion and at their own risk.

IV. Your Account

The user or Business User agrees to provide accurate personal and registration information and to keep their login credentials confidential. The user or business is responsible for all actions taken under their account.

TFXSignals processes personal data in accordance with applicable data protection laws, including Regulation (EU) 2016/679 (GDPR), and as further described in the Privacy Policy. If you suspect unauthorized use of your account, please notify us at support@tfx-signals.com.

We reserve the right to suspend or close accounts that violate these Terms or are used in violation of the law applicable to the user's location upon receiving notification from authorities regarding, for example, aggressive tax optimization, money laundering, or other financial or tax crimes. TFXSignals reserves the right to suspend, restrict, or terminate access to the Service where required by applicable law, sanctions regulations, anti-money laundering regulations, law enforcement requests, or legitimate security concerns.

V. Subscriptions & Billing

Fees for paid plans are charged in advance on a recurring basis through our payment service provider, Stripe. Stripe's own terms and conditions also apply to your payments. Subscriptions automatically renew every 30 days until cancelled. You can cancel at any time from your dashboard; access remains active until the end of the current billing period.

Price Changes

Subscription prices may change upon future renewal. You will be notified via email at least 14 days in advance of any price change. Continued use of the Service after the new price takes effect constitutes acceptance of the new price.

Consumer Right of Withdrawal (EU)

If you are a Consumer residing in the European Union, you have the right to withdraw from a distance contract within 14 calendar days from the date of conclusion of the contract, without giving any reason, in accordance with Directive 2011/83/EU as implemented in applicable national law.

However, if you expressly request immediate access to the digital Service before the expiry of the 14-day withdrawal period AND acknowledge in writing (by ticking the relevant checkbox at checkout) that you thereby lose your right of withdrawal upon commencement of performance, that right ceases once the Service has been provided, to the extent permitted by applicable law.

If the right of withdrawal has not been validly waived as described above, and you exercise your right of withdrawal within 14 days, TFXSignals will reimburse all payments received from you, without undue delay and no later than 14 days from the day on which we are informed of your decision to withdraw.

Refunds (Business Users)

Fees paid by Business Users are non-refundable except where otherwise required by applicable law or expressly agreed in writing.

VI. Complaints & Dispute Resolution

If you have a complaint regarding the Service, please contact us in writing at support@tfx-signals.com. TFXSignals will acknowledge receipt within 3 business days and provide a substantive response within 14 business days.

If you are a Consumer and are not satisfied with the outcome, you may refer your complaint to the relevant alternative dispute resolution (ADR) body or online dispute resolution (ODR) platform available at https://ec.europa.eu/consumers/odr.

VII. Acceptable Use

Any unauthorized reproduction, distribution, resale, publication, disclosure, or commercial exploitation of signals, data, reports, content, or other materials provided through the Service may constitute a violation of intellectual property rights and may result in suspension or termination of access to the Service.

TFXSignals reserves the right to pursue all legal remedies available under applicable law, including claims for damages and injunctive relief.

Account sharing, credential sharing, or any attempt to allow unauthorized third parties to access the Service is strictly prohibited and may result in immediate suspension or termination of the account.

Any unauthorized copying, extraction, reverse engineering, decompilation, scraping, or misuse of the Service or its proprietary content may result in immediate termination of access and the pursuit of all legal remedies available under intellectual property and unfair competition laws.

It is prohibited to use the Service for any illegal, abusive, or fraudulent purposes. If such activities are detected, TFXSignals will report the incident to the appropriate law enforcement authorities.

VIII. IP

The Service, including its software, models, branding, and content, is owned by TFXSignals and its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your own personal or internal business purposes while your account is in good standing. No rights are granted beyond those expressly stated herein.

IX. Service Availability & Telegram Delivery

The Service may occasionally be unavailable due to maintenance, software updates, failures of third-party service providers, market data interruptions, cyberattacks, force majeure events, or circumstances beyond TFXSignals' reasonable control. The Service relies on market data supplied by third-party providers; if a provider experiences downtime or an outage, Signals may be delayed, interrupted, or contain errors.

Signals distributed via Telegram are subject to the availability and delivery policies of Telegram Messenger. TFXSignals does not guarantee that any individual Signal notification will be delivered to the user's device at any particular time. Latency between Signal generation and delivery via Telegram may vary, and the price conditions referenced in a Signal may no longer be available by the time it is received. TFXSignals accepts no liability for losses arising from delayed, undelivered, or mistimed Telegram notifications.

We work to keep the Service running reliably, but cannot guarantee uninterrupted availability.

X. Force Majeure

TFXSignals shall not be liable for any delay, interruption, failure, or inability to provide the Service resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, labor disputes, internet outages, power failures, cyberattacks, failures of telecommunications networks, failures of third-party service providers, or interruptions in market data feeds.

XI. Conflicts of Interest

In accordance with Article 20 of Regulation (EU) No 596/2014 (MAR) and Delegated Regulation (EU) 2016/958, TFXSignals discloses that:

• employees, officers, or contractors of TFXSignals may hold positions in financial instruments to which the Signals relate;
• TFXSignals may from time to time have commercial relationships with third-party brokers or data providers; any such relationships that could constitute a material conflict of interest will be disclosed on the TFXSignals website;
• Signals are generated algorithmically and are not adjusted for the personal positions of any individual employee.

Users should take these potential conflicts into account when evaluating Signals.

XII. Limitation of Liability

To the fullest extent permitted by law, TFXSignals, its team, affiliates, and suppliers shall not be liable for any trading losses, lost profits, or any indirect, incidental, or consequential damages arising out of or in connection with the use of or reliance on the Service.

To the extent liability cannot be excluded under applicable law, the aggregate liability of TFXSignals arising out of or relating to the Service shall not exceed the total amount paid by the user to TFXSignals during the six (6) months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

XIII. Changes & Termination

TFXSignals reserves the right to update these Terms or the Service. Users will be notified of any significant changes via the app or email at least 7 days prior to the planned change. For changes that materially affect Consumer rights, the notice period shall be at least 14 days, and continued use of the Service after the changes take effect constitutes acceptance of those changes. If you do not accept the changes, you may stop using the Service and close your account without penalty before the changes take effect.

You may stop using the Service and close your account at any time.

XIV. Governing Law

Any disputes arising from the use of the services offered by TFXSignals or from these Terms and Conditions shall be governed exclusively by Polish and European law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland and applicable European Union law.

Nothing in these Terms shall deprive Consumers of any mandatory rights or protections granted under the laws of their country of residence.

XV. Severability

If any provision on the TFXSignals website is found to be invalid in whole or in part, the remaining provisions shall remain in full force and effect.

The Parties shall replace any invalid provision on the TFXSignals website with another legally valid provision whose legal and economic meaning most closely reflects the intent of the Parties as expressed on the TFXSignals website.

XVI. Final Provisions

In matters not covered by these Terms and Conditions, the provisions of Polish law shall apply.

Any disputes arising from the performance or interpretation of the Terms and Conditions shall be resolved by the Parties amicably. If no agreement is reached, any disputes arising out of or relating to these Terms shall first be addressed through good-faith negotiations between the Parties.

If a dispute cannot be resolved amicably, it shall be submitted to the competent courts in accordance with applicable laws governing jurisdiction.

Consumers shall retain all mandatory rights regarding jurisdiction granted by applicable consumer protection laws.

The attachments, in particular the Risk Policy, Disclaimer and Privacy Policy, constitute an integral part of the Terms and Conditions.

By using the TFXSignals website, the user agrees to all provisions set forth in the above terms and conditions.
